What This Means (2024 FDD)
According to Chocolate Bash's 2024 Franchise Disclosure Document, Chocolate Bash administers the advertising cooperative but retains the right to delegate this responsibility. Chocolate Bash can delegate the administration to an outside company, such as an advertising agency or accounting firm, or to the franchisee members of the cooperative.
This delegation clause provides Chocolate Bash with flexibility in managing the advertising cooperative. It allows them to leverage external expertise or shift administrative tasks to franchisees, potentially optimizing the cooperative's effectiveness and reducing Chocolate Bash's direct involvement. For a franchisee, this could mean dealing with an outside agency or taking on administrative duties themselves, depending on Chocolate Bash's decision.
It's important to note that Chocolate Bash also has the right to require the cooperative to operate from written bylaws or other governing documents that they determine. Additionally, Chocolate Bash has the power to require cooperatives to be formed, changed, dissolved, or merged. This level of control ensures that the cooperative aligns with Chocolate Bash's overall marketing and branding strategies, but it also means that franchisees have limited autonomy in the cooperative's operations.
