5.4 Pre-Opening Assistance.
- (a) Selecting Location. CB Franchising shall provide its criteria for Chocolate Bash locations to Franchisee. CB Franchising will review and advise Franchisee regarding potential locations submitted by Franchisee.
ARTICLE 6. LOCATION, DEVELOPMENT, AND OPENING
6.1 Determining Location and Territory. If the Location and Territory are not stated on the Summary Page:
(i) Franchisee shall find a potential Location within the Development Area described on the Summary Page Franchisee shall submit its proposed Location to CB Franchising for acceptance, with all related information CB Franchising may request.
If CB Franchising does not accept the proposed Location in writing within 30 days, then it is deemed rejected.
- (ii) When CB Franchising accepts the Location, it shall issue a Location Acceptance Letter in the form of Attachment 2 which states the Location and Territory.
CB Franchising shall determine the Territory in its good faith discretion, substantially in accordance with Item 12 of the Franchise Disclosure Document.
If no Location is stated on the Summary Page when this Agreement is signed, then the parties will determine the Location in accordance with Section 6.1.
Franchisee shall develop, open and operate a Chocolate Bash business at the Location for the entire term of this Agreement.

What This Means (2024 FDD)
According to the 2024 Chocolate Bash Franchise Disclosure Document, CB Franchising will provide its criteria for Chocolate Bash locations to the franchisee. The franchisee is responsible for finding potential locations and submitting them to CB Franchising for review and advice. CB Franchising will then review the potential locations submitted by the franchisee and advise them accordingly.
If the location and territory are not stated on the Summary Page, the franchisee must find a potential location within the Development Area described on the Summary Page and submit it to CB Franchising for acceptance, along with any related information requested by Chocolate Bash. CB Franchising has 30 days to accept the proposed location in writing; otherwise, it is deemed rejected.
Once CB Franchising accepts a location, it will issue a Location Acceptance Letter, which states the location and territory. CB Franchising determines the territory in its good faith discretion, substantially in accordance with Item 12 of the Franchise Disclosure Document. The franchisee is then obligated to develop, open, and operate a Chocolate Bash business at the approved location for the entire term of the agreement.
