Will CB Franchising provide the applicable System Standards to the franchisee for Chocolate Bash?

(b) Pre-Opening Plans, Specifications, and Vendors. Within a reasonable period of time after the Effective Date, CB Franchising shall provide Franchisee with (i) CB Franchising's sample set of standard building plans and specifications and/or standard recommended floor plans; (ii) the applicable System Standards, (iii) other specifications as CB Franchising deems appropriate (which may include specifications regarding inventory, supplies, materials, and other matters), and (iv) CB Franchising's lists of Approved Vendors and/or Required Vendors.
"System Standards" means, as of any given time, the then-current mandatory procedures, requirements, and/or standards of the System as determined by CB Franchising, which may include without limitation, any procedures, requirements and/or standards for appearance, business metrics, cleanliness, customer service, design (such as construction, decoration, layout, furniture, fixtures and signs), equipment, inventory, marketing and public relations, operating hours, presentation of Marks, product and service offerings, quality of products and services (including any guaranty and warranty programs), reporting, safety, technology (such as computers, computer peripheral equipment, smartphones, point-of-sale systems, back-office systems, information management systems, security systems, video monitors, other software, backup and archiving systems, communications systems (including email, audio, and video systems), payment acceptance systems, and internet access, as well as upgrades, supplements, and modifications thereto), uniforms, and vehicles.
11.9 System Variations. CB Franchising may vary or waive any System Standard for any one or more Chocolate Bash franchises due to the peculiarities of the particular site or circumstances, density of population, business potential, population of trade area, existing business practices, applicable laws or regulations, or any other condition relevant to the performance of a franchise or group of franchises.
Franchisee is not entitled to the same variation or waiver.
Franchisee acknowledges that the System Standards may include requirements for cleaning, maintenance, and repair.

What This Means (2024 FDD)
According to Chocolate Bash's 2024 Franchise Disclosure Document, CB Franchising will provide the applicable System Standards to the franchisee. Specifically, within a reasonable time after the effective date of the franchise agreement, Chocolate Bash Franchising will provide the franchisee with the applicable System Standards, as well as a sample set of standard building plans and specifications, recommended floor plans, and lists of approved and/or required vendors.
The System Standards encompass the mandatory procedures, requirements, and standards determined by CB Franchising. These standards may include, but are not limited to, guidelines for appearance, business metrics, cleanliness, customer service, design (including construction, decoration, layout, furniture, fixtures, and signs), equipment, inventory, marketing and public relations, operating hours, presentation of marks, product and service offerings, quality of products and services, reporting, safety, technology, uniforms, and vehicles.
Furthermore, Chocolate Bash retains the authority to modify or waive any System Standard for individual franchises due to specific site conditions, population density, business potential, trade area demographics, existing business practices, applicable laws, or other relevant factors. However, franchisees are not automatically entitled to the same variations or waivers. Franchisees must also adhere to any System Standards related to cleaning, maintenance, and repair, ensuring the business is well-maintained and in good condition.
