Any party may designate a new address for notices by giving notice
of the new address pursuant to this Section. Notices will be effective upon receipt (or first rejection) and must be: (1) delivered personally; (2) sent by registered or certified U.S. mail with return receipt requested; or (3) sent via overnight courier. What This Means (2024 FDD)
According to Chocolate Bash's 2024 Franchise Disclosure Document, any party can designate a new address for notices by providing notification of the new address. Notices are considered effective upon receipt or first rejection. The method of delivery must be either personal delivery, registered or certified U.S. mail with return receipt requested, or via overnight courier. However, Chocolate Bash can provide notice of changes to System Standards and deliver notices of default by electronic mail or other electronic communication.
For a prospective Chocolate Bash franchisee, this means that if they need to send a formal notice to the franchisor, they must do so through one of the approved methods (personal delivery, registered/certified mail, or overnight courier) to ensure it is considered 'officially' received. It also means that Chocolate Bash has the flexibility to communicate certain important information, such as changes to operating procedures or default notices, via email, which is a more immediate and cost-effective method.
It is important to note that the FDD excerpt does not provide the specific address for CB Franchising. A prospective franchisee should confirm the correct address for sending official notices during the due diligence process, as misdirected notices could have legal ramifications. The franchisee should also confirm what constitutes an 'official' email address for receiving notices from Chocolate Bash.
