Under what circumstances might Chicken Guy extend the Opening Deadline for a Chicken Guy franchisee?

If events constituting Force Majeure cause a delay in the commencement of construction of the Franchised Restaurant, Chicken Guy shall proportionately extend the Opening Deadline (as defined below) for the Franchised Restaurant.

Notwithstanding the occurrence of any events, except events constituting Force Majeure, construction shall be completed, and the Franchised Restaurant shall be furnished, equipped and shall otherwise be ready to open for business in accordance with this Agreement not later than the date specified in the attached Data Sheet ("Opening Deadline").

  • (3) Franchisee agrees, at its sole expense, to do, or cause to be done, the following, by the Opening Deadline:

  • (a) Obtain and maintain all required building, utility, sign, health, sanitation, business and other permits and licenses applicable to the Franchised Restaurant.

  • (b) Construct all required improvements to the Franchised Location and decorate the exterior and interior of the Franchised Restaurant in compliance with the Plans approved by Chicken Guy.

What This Means (2025 FDD)

According to Chicken Guy's 2025 Franchise Disclosure Document, the Opening Deadline, which is the date specified in the Data Sheet attached to the Franchise Agreement by which the restaurant must be ready to open, may be extended under specific circumstances. If events constituting Force Majeure cause a delay in the commencement of construction, Chicken Guy will proportionately extend the Opening Deadline. Force Majeure includes events such as acts of God, strikes, war, riots, epidemics, fires, or actions by governmental bodies that are beyond the franchisee's control.

Even with the occurrence of other events besides Force Majeure, the franchisee must still complete construction and have the restaurant ready to open by the Opening Deadline specified in the Data Sheet. Chicken Guy also retains the discretion to extend the Opening Deadline to address unforeseen construction delays that are not within the franchisee's control.

If a Chicken Guy franchisee fails to open the Franchised Restaurant for business on or before the Opening Deadline, Chicken Guy has the right to terminate the Franchise Agreement. However, Chicken Guy may choose to extend this period if there are unforeseen construction delays that the franchisee cannot control.
