H. Upkeep of the Franchised Restaurant.
- (1) Franchisee shall constantly maintain and continuously operate the Franchised Restaurant and all furniture, fixtures, equipment, furnishings, floor coverings, interior and exterior signage, the building interior and exterior, interior and exterior lighting, landscaping and parking lot surfaces in firstclass condition and repair in accordance with the requirements of the System, including all ongoing necessary remodeling, redecorating, refurbishing and repairs. In addition, Franchisee shall promptly and diligently perform all necessary maintenance, repairs and replacements to the Franchised Restaurant as Chicken Guy may prescribe from time to time, including periodic interior and exterior painting; resurfacing of the parking lot; roof repairs; and replacement of obsolete or worn out signage, floor coverings, furnishings, equipment and decor.
- (2) Franchisee shall not make any material alterations to the Franchised Restaurant that affect operations or the image of the System without Chicken Guy's prior written approval. Franchisee acknowledges and agrees that the requirements of this Section are both reasonable and necessary to ensure continued public acceptance and patronage of Chicken Guy! Restaurants, to assist the Franchised Restaurant to compete effectively in the marketplace and to avoid deterioration or obsolescence of the operation of the Franchised Restaurant.

According to the 2025 Chicken Guy Franchise Disclosure Document, several sections within the Franchise Agreement and the Non-Traditional Location Addendum outline the requirements for maintenance, appearance, and remodeling. Specifically, Section H, titled "Upkeep of the Franchised Restaurant," within the Franchise Agreement details the franchisee's responsibilities for maintaining the restaurant. This includes keeping the premises in first-class condition, performing necessary remodeling, redecorating, refurbishing, and repairs as prescribed by Chicken Guy.
Additionally, Section C, titled "Renovation of Franchised Restaurant," addresses extensive structural changes, major remodeling and renovations, and substantial modifications to existing equipment. Chicken Guy can request these renovations, but not more often than every 5 years, to modernize and conform the Franchised Restaurant to the image of the System for new franchised and company restaurants. Franchisees are required to prepare and complete drawings and plans for the required modernization within 60 days after receiving written notice from Chicken Guy, and these plans must be approved by Chicken Guy before work commences.
For franchisees operating in non-traditional locations, the Non-Traditional Location Addendum also includes provisions related to maintenance and signage. Specifically, item 8 in the addendum adds a subsection to Section 14.H, requiring the franchisee to maintain any other businesses operated at the Facility, all areas adjacent to the Franchised Restaurant, and any common area of the Facility utilized by customers in first-class condition and repair. Item 10 in the addendum adds a sentence to Section 14.K, giving Chicken Guy the right to approve all signage displayed at or near the Facility, ensuring it is at least equal in size to the signage for any other businesses operated at the Facility.
