What This Means (2025 FDD)
According to Chicken Guy's 2025 Franchise Disclosure Document, the Releasors subject to the general release include the Developer, acting on behalf of themselves, their parent company, subsidiaries, and affiliates, along with their past and present members, officers, directors, shareholders, agents, and employees in both their corporate and individual capacities. Additionally, all individuals who execute the Chicken Guy agreement and all guarantors of the Developer's obligations under the agreement are considered Releasors.
These Releasors agree to release Chicken Guy, its parent company, subsidiaries, and affiliates, as well as their respective past and present officers, directors, shareholders, agents, and employees (collectively "Releasees"), from any and all claims, demands, liabilities, and causes of action. This release covers all types of claims, whether known or unknown, vested or contingent, suspected or unsuspected, that any Releasor currently holds or may have held up to the date of the agreement.
The claims being released include, but are not limited to, those arising under federal, state, and local laws, rules, and ordinances, as well as claims for contribution, indemnity, subrogation, and claims related to the agreement itself. It also encompasses claims arising from other agreements between any Releasor and any Releasee, the sale of a franchise to any Releasor, the development of any Franchised Restaurant, and the development and operation of all other restaurants operated by any Releasor that are franchised by any Releasee.
However, the general release does not apply to claims arising from representations made in Chicken Guy's Franchise Disclosure Document or its exhibits. It also does not impair or affect any claims arising after the date of the agreement, providing some protection for the franchisee against future issues.
