payment of the obligations under the Agreement and under this Guarantee may be applied in any manner or order deemed appropriate by Chicken Guy.
If Chicken Guy brings an action to enforce this Guarantee, the prevailing party in such proceeding shall be entitled to reimbursement of its costs and expenses, including, but not limited to, reasonable accountants', attorneys', attorneys' assistants' and expert witness fees, cost of investigation and proof of facts, arbitration or court costs, other arbitration or litigation expenses and travel and living expenses, whether incurred during, prior to, in preparation for or in contemplation of the filing of any such proceeding. In any judicial proceeding, these costs and expenses shall be determined by the court and not by a jury.
If Chicken Guy utilizes legal counsel (including in-house counsel employed by Chicken Guy or its affiliates) in connection with any failure by the undersigned to comply with this Guarantee, the undersigned shall reimburse Chicken Guy for any of the above-listed costs and expenses incurred by it.
This Guarantee shall inure to the benefit of and be binding upon the parties and their respective heirs, legal representatives, successors and assigns. Chicken Guy's interests in and rights under this Guarantee are freely assignable, in whole or in part, by Chicken Guy. Any assignment shall not release the undersigned from this Guarantee.
Section 31 (Disputes) of the Agreement is incorporated by reference into this Guarantee and all capitalized terms that are not defined in this Guarantee shall have the meaning given them in the Agreement.

What This Means (2025 FDD)
According to the 2025 Chicken Guy Franchise Disclosure Document, the Veterans Addendum to the Chicken Guy Restaurant Franchise Agreement is designed to recognize the contributions of United States military personnel and to encourage veterans to become franchisees. Chicken Guy has implemented the Veterans Program to attract new franchisees and promote the development of franchised Chicken Guy restaurants.
To qualify for the Veterans Program, the franchisee (or a holder of at least 51% ownership in the franchisee entity) must be a veteran and provide Chicken Guy with a DD Form 214 or other documentation demonstrating honorable discharge from the United States military. The franchisee must also not currently operate any Chicken Guy restaurants. If the franchisee meets these criteria and is developing a new Chicken Guy restaurant, Chicken Guy will enter into the addendum to provide the Veterans Program benefits and modify certain provisions of the Franchise Agreement.
The Veterans Addendum provides a specific benefit: a reduction in the initial franchise fee. Specifically, the franchisee will receive a $5,000 discount and pay a reduced initial franchise fee of $45,000. However, this benefit comes with a condition. If the franchisee transfers the restaurant or Chicken Guy terminates the Franchise Agreement before the first anniversary of the restaurant's opening date, the franchisee must repay the waived $5,000 to Chicken Guy.
The Veterans Addendum serves as a limited modification to the standard Franchise Agreement. All other terms and conditions of the Franchise Agreement remain in full force and effect, except as expressly modified by the addendum. This ensures that while veterans receive an incentive, the core obligations and standards of the franchise system remain consistent.
