What This Means (2025 FDD)

According to the 2025 Chicken Guy FDD, the operations manual is considered confidential and proprietary. The franchise agreement states that the franchisee acknowledges receipt of the Chicken Guy manual on loan, and this manual contains the standards for operating the franchised restaurant. These standards include detailed instructions, specifications, requirements, methods, and procedures. The manual covers various aspects such as product selection, preparation, marketing, maintenance, employee appearance, and other business procedures. Chicken Guy may modify the manual, and the franchisee must comply with these changes.

The franchisee agrees to operate the restaurant in strict accordance with the manual, keep it at the restaurant, and not reproduce it. The franchisee must treat the manual as confidential and only disclose its contents to employees who need to know the information. The franchisee is also responsible for keeping their copy of the manual up-to-date with any changes provided by Chicken Guy and for purchasing any necessary equipment to receive these updates. In case of a dispute, the master copy of the manual maintained by Chicken Guy will be the controlling document.

This confidentiality extends beyond the manual itself. The FDD states that all material or other information provided to the franchisee regarding the Chicken Guy system is disclosed in confidence. The franchisee has no right to disclose any part of the system to anyone who is not an employee and must have a system in place to ensure employees keep Chicken Guy's trade secrets and confidential information secure. This obligation remains in effect during the term of the agreement and even after its termination, protecting Chicken Guy's competitive advantage and proprietary information.
