- (6) Franchisee promptly shall make such alterations and modifications to the Franchised Location as may be necessary to clearly distinguish to the public the Franchised Location from its former appearance and also make those specific additional changes as Chicken Guy may request for that purpose.
If Franchisee fails to promptly make these alterations and modifications, Chicken Guy shall have the right (at Franchisee's expense, to be paid upon Franchisee's receipt of an invoice from Chicken Guy) to do so without being guilty of trespass or other tort.
- (7) If Franchisee has used the Proprietary Marks, in whole or in part, in connection with the Internet, any Website or any Electronic Identifier, whether or not authorized by Chicken Guy, then Franchisee shall, at Chicken Guy's option, cancel or assign to Chicken Guy, or Chicken Guy's designee, all of Franchisee's rights, title and interest in any Websites, Electronic Identifiers or registrations that contain or previously contained the Proprietary Marks, or any of them, in whole or in part, and Franchisee shall notify Verisign (Network Solutions), register.com, or other applicable domain name registrar and all listing agencies, upon the termination or expiration of this Agreement, of the termination of Franchisee's right to use any Electronic Identifier associated with the System, the Proprietary Marks or the Franchised Restaurant, and authorize and instruct their cancellation or transfer to Chicken Guy, as directed by Chicken Guy.
Franchisee is not entitled to any compensation from Chicken Guy if Chicken Guy exercises these rights or options.

What This Means (2025 FDD)
According to Chicken Guy's 2025 Franchise Disclosure Document, upon termination or expiration of the franchise agreement, a franchisee must make specific alterations and modifications to the Franchised Location. These changes are necessary to clearly differentiate the location from its previous appearance as a Chicken Guy restaurant. Additionally, the franchisee must implement any other specific changes that Chicken Guy requests for this purpose.
If the franchisee fails to promptly make these required alterations and modifications, Chicken Guy retains the right to perform these actions themselves. The franchisee will be responsible for covering these expenses, which are due upon receipt of an invoice from Chicken Guy. This ensures that the location no longer resembles a Chicken Guy restaurant, protecting the brand's image and preventing consumer confusion.
Furthermore, if the franchisee has used Chicken Guy's Proprietary Marks on the internet, including websites or electronic identifiers, they must either cancel or transfer all rights to these digital assets to Chicken Guy or their designee, at Chicken Guy's discretion. The franchisee is also responsible for notifying domain name registrars and listing agencies about the termination of their right to use any electronic identifier associated with the Chicken Guy system and authorizing the cancellation or transfer of these identifiers to Chicken Guy. The franchisee will not receive any compensation from Chicken Guy for these actions.
