BACKGROUND

  • A. Chick-fil-A and the Operator-Owner entered into a Franchise Agreement with its attached Lease, Additional Business Amendments(s), if any, and all other exhibits (the "Franchise Agreement"), which governs and defines the parties' relationship and operation of the Business(es), including the Business designated in the Food Truck License Summary (as defined in Section 1) attached as Exhibit A (the "Business").

The Operator-Owner, after obtaining all required approvals and consents under the Franchise Agreement transferred and assigned his or her interest in the Franchise Agreement and the Business(es) for their remaining respective Agreed Terms to the Operator, an entity formed by the Operator-Owner for his or her convenience of ownership, pursuant to the terms and conditions of an Assignment and Consent to Assignment (the "Assignment").
