A. IMMEDIATE TERMINATION
CDI may terminate this Agreement, effective immediately, if:

- FRANCHISEE (or any of its owners) has made or makes any material misrepresentation or omission in acquiring the Franchise or operating the BUSINESS;

- FRANCHISEE does not commence operations of the BUSINESS within ninety (90) days after signing this Agreement;
