What This Means (2024 FDD)

According to Chem Dry's 2024 Franchise Disclosure Document, Chem-Dry, Inc. (CDI) and its vendors retain all intellectual property rights to the Chem Dry Service. The Software License Agreement specifies that the service is licensed and not sold to the franchisee. Therefore, the franchisee does not gain any ownership interest in the service itself.

Chem Dry and its vendors maintain complete rights, title, and interest in the service, including all intellectual property rights associated with it. Section 1 of the Software License Agreement only grants the franchisee express rights to use the service for managing their business data, subject to the agreement's terms and conditions.

This means a Chem Dry franchisee cannot claim ownership of the software or any related intellectual property. They are also prohibited from actions like copying, selling, sublicensing, or creating derivative works from the service. These restrictions ensure that Chem Dry maintains control over its proprietary technology and brand identity, which is typical in franchise systems.
