What This Means (2024 FDD)
According to Chem-Dry's 2024 Franchise Disclosure Document, no officer of CDI (the franchisor) or its affiliates has an ownership interest in any approved Chem-Dry supplier. However, some officers of BELFOR, the parent company of CDI, do have ownership interests in BHI Distribution and Colman Wolf, which are affiliates of CDI. These affiliated companies may, in the future, supply products and services to Chem-Dry franchisees.
This arrangement is important for prospective franchisees to understand because it reveals potential conflicts of interest. While CDI's officers do not directly benefit from supplier relationships, officers of its parent company, BELFOR, have ownership in affiliated suppliers. This could create an incentive for Chem-Dry to favor these affiliated suppliers, even if their products or services are not the best or most cost-effective option for franchisees.
Franchisees should monitor this situation and ensure they are receiving fair pricing and quality from any affiliated suppliers. It is also worth noting that Chem-Dry can approve only a limited number of sources or a single source for certain equipment, supply items, promotional materials, and business services, which may include Chem-Dry or its affiliates. Some approved suppliers provide rebates and other payments based on sales made to franchisees; this amount is 0.26% of the supplier's gross sales to franchisees. These payments are used to offset the costs of the franchisee convention and to support the supplier marketing program directed to franchisees.
Prospective franchisees should inquire about the specific products and services that BHI Distribution and Colman Wolf might supply, and how Chem-Dry ensures fair competition among suppliers, especially those affiliated with its parent company. Understanding these relationships is crucial for making an informed investment decision.
