What This Means (2024 FDD)

According to Chem Dry's 2024 Franchise Disclosure Document, Chem Dry does not assume liability for damages that arise from the franchisee's operation of the business. Specifically, Chem Dry "will not be obligated for any damages to any person or property which directly or indirectly arise from or relate to FRANCHISEE'S operation of the BUSINESS." This means that franchisees are responsible for their own actions and business operations.

This provision protects Chem Dry from potential lawsuits or financial claims resulting from the franchisee's actions. However, franchisees are required to indemnify, defend, and hold harmless Chem Dry and its affiliates from all claims, obligations, and damages arising out of the business's operation. This includes claims caused by the Indemnified Party's negligence, unless the damages are determined to be caused solely by Chem Dry's gross negligence or willful misconduct.

In practice, this means a Chem Dry franchisee is responsible for securing adequate insurance coverage to protect against potential liabilities. Franchisees must also ensure they operate their business in compliance with all applicable laws and regulations. This allocation of responsibility is typical in franchising, where franchisees are independent business owners responsible for their daily operations, while the franchisor sets brand standards and provides support.
