Answer from 2024 FDD Document

  1. Content Ownership and Confidentiality; Security. You agree the Customer List, as defined and governed by your Franchise Agreement, contains account and/or personal customer information and is, therefore, confidential information. As such, you agree not to disclose the Customer List, or any portion thereof, and to take all reasonable precautions to insure that your employees and/or contractors agree not to disclose such information to unauthorized third parties. CDI will use commercially reasonable efforts to protect, and to cause its vendors to protect, the security of the Content, including requiring its vendor to minimally maintain comprehensive general liability and internet professional and security liability insurance coverage, but in any event, CDI makes no representations or warranties concerning the security of the Content.

What This Means (2024 FDD)

According to Chem Dry's 2024 Franchise Disclosure Document, Chem Dry does not make any warranties regarding the security of franchisee content. While Chem Dry states it will use commercially reasonable efforts to protect the security of the content, including requiring its vendors to maintain certain insurance coverage, it explicitly disclaims any warranties concerning content security. Content includes data, files, software, text, or other material submitted by the franchisee using Chem Dry's online software services.

This means that as a Chem Dry franchisee, you bear the risk of potential data breaches or security lapses affecting your content. While Chem Dry commits to reasonable security measures and requires its vendors to have liability insurance, you cannot hold Chem Dry liable based on any warranty if a security incident occurs.

It is important for a prospective Chem Dry franchisee to understand the scope of Chem Dry's responsibility regarding data security. Franchisees should consider implementing their own security measures to protect sensitive customer and business information. This could include using strong passwords, encrypting data, and regularly backing up data. Franchisees should also review the vendor's insurance coverage to understand the potential for recovery in the event of a security breach.
