The BUSINESS (defined below) and other CHEM-DRY Businesses, if applicable and authorized by CDI, will be the only businesses FRANCHISEE operates.
C. GRANT OF FRANCHISE

What This Means (2024 FDD)
According to Chem Dry's 2024 Franchise Disclosure Document, both the franchisee and its owners represent and warrant to CDI that all information submitted as part of or related to the franchise application was true, correct, and complete at the time of submission and remains true, correct, and complete as of the effective date of the agreement. This is a critical assurance Chem Dry requires before granting a franchise.
This representation is significant because Chem Dry relies on the accuracy of the information provided in the application when deciding whether to approve the franchise. Any misrepresentation or omission could potentially lead to legal issues or termination of the franchise agreement. The 'owners' are also bound, jointly and severally, by all provisions of the agreement and any ancillary agreements between the franchisee and CDI, reinforcing their commitment and responsibility.
Furthermore, the franchisee and its owners must agree to sign and deliver to CDI a revised Summary Page to reflect any changes in the information included on it, subject to CDI's rights and the franchisee's obligations under Section 13. This ensures that Chem Dry has up-to-date information about the franchise and its ownership. This requirement helps Chem Dry maintain accurate records and manage its franchise network effectively.
In essence, these representations and warranties are designed to protect Chem Dry's interests by ensuring that franchisees and their owners are honest and transparent in their dealings with the company. They also provide Chem Dry with legal recourse in the event of any misrepresentation or breach of contract.
