- Franchisee agrees to execute and comply with the terms of the Software License Agreement for use in conjunction with the Computer System and acknowledges that any breach of the Software License Agreement will be deemed to be a material breach of this Agreement and any other franchise agreement FRANCHISEE may have with CDI or its affiliates.

According to Chem Dry's 2024 Franchise Disclosure Document, franchisees are required to execute and comply with the terms of the Software License Agreement. This agreement is related to the use of the Computer System that Chem Dry may require franchisees to use.
The Computer System may include specific brands, types, makes, and models of communication and computer systems. This includes a compatible computer system that complies with Chem Dry's standards, archival back-up systems, internet access, and security systems. Chem Dry may modify these specifications over time, and the franchisee is responsible for purchasing and installing the Computer System, including any upgrades that Chem Dry specifies.
Franchisees must also pay initial and ongoing fees for the licensing, maintenance, and support of any proprietary computer software provided by Chem Dry. This software may include a credit card or payment processing function, requiring franchisees to process all transactions through this component of the Computer System. A breach of the Software License Agreement is considered a material breach of the Franchise Agreement, which could lead to termination of the franchise agreement.
