What This Means (2024 FDD)

According to Chem Dry's 2024 Franchise Disclosure Document, franchisees are significantly restricted in their ability to disrupt Chem Dry's established services or networks. The agreement emphasizes maintaining the reputation and goodwill of Chem Dry by ensuring consistent, high-quality service and adherence to approved products and services. Franchisees must obtain prior written approval from Chem Dry before offering or selling any unauthorized services or products. This restriction ensures uniformity and quality control across all Chem Dry franchises, protecting the brand's image.

Chem Dry franchisees are further prohibited from using equipment for purposes other than operating the Chem Dry business in compliance with the franchise agreement and the outlined operating procedures. This prevents franchisees from diverting resources or using Chem Dry's assets for unapproved ventures. Additionally, upon termination or expiration of the franchise agreement, franchisees must cease using any of Chem Dry's confidential information, including software, technology, and digital passwords, and return all confidential materials, including the operations manual and proprietary equipment. Any non-proprietary equipment bearing Chem Dry marks must be returned or have the marks removed.

Moreover, franchisees are obligated to provide Chem Dry with access to the customer list upon termination or expiration of the agreement. This list, containing customer details such as names, addresses, phone numbers, email addresses, and service dates, cannot be used in connection with any business other than the Chem Dry business or transferred to a third party, except as specifically provided in the agreement. Franchisees also agree not to cause or participate in the transfer of any telephone numbers associated with Chem Dry to any person or entity other than Chem Dry, reinforcing Chem Dry's control over its network and customer relationships.

These measures collectively ensure that franchisees operate within a tightly controlled system, limiting their ability to deviate from established practices or disrupt Chem Dry's services and networks. The franchise agreement is designed to protect Chem Dry's brand, maintain quality standards, and prevent franchisees from leveraging Chem Dry's resources or customer base for unauthorized purposes, both during and after the franchise term.
