What This Means (2024 FDD)

According to Chem-Dry's 2024 Franchise Disclosure Document, using Chem-Dry's online software service after Chem-Dry notifies you of changes to the agreement constitutes acceptance of the revised agreement. This applies to the Software License Agreement, which covers the online software services provided by Chem-Dry or its vendors.

For a prospective Chem-Dry franchisee, this means that if Chem-Dry modifies the Software License Agreement, simply continuing to use the software after receiving notice of the changes legally binds you to the updated terms. It's crucial to carefully review any notifications from Chem-Dry regarding changes to this agreement, as continued use implies acceptance, even without a formal signature or acknowledgment.

This clause places the onus on the franchisee to stay informed about changes to the Software License Agreement. Failure to review these changes could result in unintentional agreement to terms that are unfavorable. Franchisees should consider setting up alerts or reminders to check for updates and carefully read any notifications from Chem-Dry regarding the software service.

Chem-Dry also reserves the right to modify its fees for the service. Additional fees may apply for optional features or if a franchisee elects to transfer from one service level to another. Chem-Dry may suspend or terminate a franchisee's account without prior notice if the franchisee violates the agreement.
