Can Chem-Dry franchisees expect protection from competition from CDI's affiliates and their franchisees who are not using the Chem-Dry marks, within or outside the Franchised Area?

Chem_Dry Franchise · 2024 FDD

Answer from 2024 FDD Document

FRANCHISEE acknowledges that CDI's affiliates and their franchisees not using the Marks may offer and sell goods and services similar to goods and services offered and sold by Chem-Dry Businesses inside and outside the Franchised Area, and to customers or businesses located in the Franchised Area. Nothing in this Agreement or otherwise shall prevent these CDI affiliates or their franchisees from offering their goods and services, without compensation to FRANCHISEE, inside the Franchised Area. In the event of a conflict between FRANCHISEE and an CDI affiliate outlet, CDI agrees to use reasonable methods to address the issue, however FRANCHISEE acknowledges and agrees that CDI and its affiliates have not established, and have no obligation to establish, any method of resolving conflicts between any competing franchises regarding territory, customers and franchisor support. Further, there are no restrictions or restraints on competition or customer solicitation among the CDI affiliated brand systems that may offer similar products and services.

What This Means (2024 FDD)

According to Chem-Dry's 2024 Franchise Disclosure Document, a Chem-Dry franchisee has limited protection from competition from CDI's affiliates and their franchisees who are not using the Chem-Dry marks. Specifically, CDI's affiliates and their franchisees not using the Chem-Dry marks can offer and sell similar goods and services inside and outside the franchisee's Franchised Area, and to customers or businesses located in the Franchised Area.

This means that other businesses affiliated with Chem-Dry's parent company, but operating under different brands, are allowed to compete directly with a Chem-Dry franchisee, even within the franchisee's designated territory. The agreement does not prevent these affiliates from offering their goods and services without compensating the franchisee. While Chem-Dry agrees to use reasonable methods to address conflicts between a franchisee and an affiliate outlet, they are not obligated to establish any method of resolving conflicts regarding territory, customers, or franchisor support.

Furthermore, the FDD states that there are no restrictions on competition or customer solicitation among the CDI affiliated brand systems that may offer similar products and services. This lack of protection from affiliated brands is a significant risk for potential franchisees. It is common in franchising to grant some form of territorial protection, but Chem-Dry franchisees must be aware that other brands under the same corporate umbrella can compete with them directly.

Therefore, a prospective Chem-Dry franchisee should carefully consider the potential impact of competition from affiliated brands when evaluating the franchise opportunity. It would be prudent to inquire with Chem-Dry about the specific nature and extent of any potential competition from affiliated brands in their target market.
