Can a Chem-Dry franchisee subfranchise, sublicense, or delegate their franchise rights?

According to Chem-Dry's 2024 Franchise Disclosure Document, franchisees are explicitly prohibited from subfranchising, sublicensing, or delegating their franchise rights. This restriction is in place to ensure that Chem-Dry maintains control over its brand standards and the quality of services provided under its name.

This means that a Chem-Dry franchisee cannot grant another party the right to operate a Chem-Dry business under their franchise agreement. The franchisee is the only party authorized to operate the business using Chem-Dry's system and trademarks within their designated territory. This limitation is a common practice in franchising, as franchisors like Chem-Dry seek to maintain uniformity and protect their brand identity.

While franchisees cannot subfranchise, sublicense, or delegate their rights, they are not obligated to participate personally in the direct operation of their Chem-Dry Business. Chem-Dry recommends that the franchisee does so. If a franchisee chooses to use an operator to run the business, that operator must be disclosed to Chem-Dry and complete the initial and other training programs successfully within 90 days of the start of their employment. The operator isn't required to have any ownership interest in the Chem-Dry Business but must sign an agreement not to divulge any trade secret or confidential information or engage in any competitive business.
