What This Means (2024 FDD)

According to the 2024 Chem Dry Franchise Disclosure Document, the Franchise Agreement is binding not only on Chem Dry, Inc. (CDI) but also on the franchisee and their owners. This means that all parties involved, including the franchisee and any individuals listed as owners, are legally responsible for adhering to the terms and conditions outlined in the agreement.

This has significant implications for prospective Chem Dry franchisees. It's not just the business entity that's bound by the agreement; the individual owners are also personally liable. This 'joint and several' liability means that each owner can be held responsible for the entire obligations of the franchise, not just a portion. Therefore, potential franchisees should carefully consider who they include as owners and ensure everyone fully understands the commitments involved.

Furthermore, the franchisee and owners must provide accurate and complete information to Chem Dry during the application process. Any misrepresentations or omissions can have legal consequences. Chem Dry relies on this information when approving the franchise, so it's crucial to be transparent and honest in all dealings with the company. This requirement underscores the importance of due diligence and seeking professional advice before entering into a franchise agreement with Chem Dry.
