What This Means (2024 FDD)

According to Chem Dry's 2024 Franchise Disclosure Document, Exhibit G outlines the Software License Agreement between Chem-Dry, Inc. (CDI) and the franchisee. This agreement pertains to the online software service(s) provided by CDI or its vendors, referred to as the "Service." The document specifies that CDI or its vendors will provide the Service for the franchisee to use for managing their business data, subject to the terms and conditions of the agreement.

This agreement does not grant ownership of the Service to the franchisee. Instead, it provides a license for the franchisee to use the Service for business management purposes. The Service's features and capabilities may vary based on the version or level provided under the agreement. The franchisee is required to agree to be bound by the terms of the Software License Agreement to utilize the service.

To use the service, franchisees need access to the World Wide Web and must provide all necessary equipment for this connection. This indicates that franchisees are responsible for their own internet access and related hardware. The agreement clarifies that "you," "your," or "user" refers to the franchisee under the Franchise Agreement, establishing the relationship between the software license and the franchise operation.

In summary, the Chem Dry franchise agreement grants franchisees a license to use the Chem Dry's software service for managing their business data, but it does not transfer ownership of the software itself. Franchisees are responsible for ensuring they have the necessary internet access and equipment to utilize the service.
