Subject to the terms and conditions of this Agreement, CDI hereby grants to FRANCHISEE a non-exclusive franchise to use the Marks and the Franchise System (the "Franchise") to operate a CHEM-DRY Business (the "BUSINESS") in the area as defined in the Summary Page to this Agreement (the "Franchised Area") and to use the Marks in the operation thereof from the Effective Date of this Agreement for a term (the "Term") beginning on the Effective Date and ending five (5) years from the Payment Start Date as referenced in Section 8.B. of this Agreement, or, if this Agreement pertains to the transfer of an existing Chem-Dry Business or is a Renewal Agreement, ending five (5) years from the Effective Date of this Agreement.
In connection with the operation of the BUSINESS, FRANCHISEE must offer and perform carpet and area rug cleaning, upholstery cleaning, spot removal applying anti-allergen and deodorizer, and protecting services, including removing red stains, treating pet urine odor on carpets and imparting stain resistance to carpet fibers that we mandate, and such other services which may from time to time be changed, specified, and/or directed by CDI (the "Required Services").

What This Means (2024 FDD)
According to Chem Dry's 2024 Franchise Disclosure Document, the agreement grants franchisees a non-exclusive franchise to use the Chem Dry marks and franchise system to operate a Chem Dry business within a defined area. Chem Dry retains all rights to the Chem Dry businesses, the franchise system, and the marks, except for the limited license and rights expressly granted to the franchisee in the agreement.
This means that while franchisees have the right to operate a Chem Dry business using the company's established system and brand, they do not gain ownership of the Chem Dry service itself. The franchisor, CDI, maintains control over the brand, system, and trademarks, and can sell related products or services through any distribution channel, even within the franchisee's area.
Chem Dry franchisees must operate from a single location within their assigned territory but can manage multiple crews and vans. They are obligated to solicit business only within their franchise area and must perform specific services mandated by Chem Dry. If a franchisee performs a job outside their designated area, Chem Dry has the right to impose a fine of $5,000 or terminate the agreement.
In summary, the Chem Dry franchise agreement provides a license to operate under the Chem Dry brand and system, but it does not grant any ownership interest in the service itself. Chem Dry retains ultimate control and ownership of its brand, system, and trademarks.
