Answer from 2024 FDD Document

FRANCHISEE acknowledges that CDI's affiliates and their franchisees not using the Marks may offer and sell goods and services similar to goods and services offered and sold by Chem-Dry Businesses inside and outside the Franchised Area, and to customers or businesses located in the Franchised Area. Nothing in this Agreement or otherwise shall prevent these CDI affiliates or their franchisees from offering their goods and services, without compensation to FRANCHISEE, inside the Franchised Area. In the event of a conflict between FRANCHISEE and an CDI affiliate outlet, CDI agrees to use reasonable methods to address the issue, however FRANCHISEE acknowledges and agrees that CDI and its affiliates have not established, and have no obligation to establish, any method of resolving conflicts between any competing franchises regarding territory, customers and franchisor support. Further, there are no restrictions or restraints on competition or customer solicitation among the CDI affiliated brand systems that may offer similar products and services.

What This Means (2024 FDD)

Based on the 2024 Chem Dry Franchise Disclosure Document, the FDD does not specify the exact process for resolving disputes between Chem Dry and its franchisees. While the document includes acknowledgements from the franchisee regarding the terms and conditions, and mentions potential conflicts with affiliate outlets, it does not detail specific dispute resolution methods such as mediation, arbitration, or litigation.

Item 23 touches on potential conflicts between a Chem Dry franchisee and an affiliate outlet, noting that Chem Dry may use reasonable methods to address the issue. However, it explicitly states that Chem Dry has no obligation to establish any method of resolving conflicts regarding territory, customers, or franchisor support. This suggests that franchisees may need to resolve such issues independently or through negotiation with the other party involved.

Prospective Chem Dry franchisees should seek clarification from the franchisor regarding the standard procedures for dispute resolution. Understanding the mechanisms available to address grievances or conflicts is crucial before entering into a franchise agreement. Franchisees should inquire about whether disputes are subject to mandatory arbitration, mediation, or if they can pursue legal action in court. Knowing the dispute resolution process can help franchisees better protect their interests and manage potential conflicts that may arise during the franchise term.
