What This Means (2025 FDD)

According to Checkersrallys's 2025 Franchise Disclosure Document, if any provision within the franchise agreement or any prescribed specification, standard, or operating procedure is deemed invalid or unenforceable under applicable law, Checkersrallys retains the right to modify the specific provision, specification, standard, or operating procedure. This modification will be to the extent necessary to ensure it becomes valid and enforceable.

This clause provides Checkersrallys with the flexibility to adapt the franchise agreement to comply with changing legal requirements without fundamentally altering the agreement. For a prospective franchisee, this means that certain aspects of the franchise operation could be subject to change if legal challenges arise. These changes would be aimed at maintaining the validity and enforceability of the agreement as a whole.

It is important for a potential Checkersrallys franchisee to understand that while the agreement aims to be comprehensive, unforeseen legal issues could lead to modifications. Franchisees should stay informed about any updates or changes communicated by Checkersrallys and seek clarification on how these changes might affect their operations. This clause reflects a common practice in franchising, where franchisors seek to maintain control and adaptability in the face of evolving legal landscapes.
