What This Means (2025 FDD)
According to the 2025 Checkersrallys Franchise Disclosure Document, the addendum can be executed and signed by electronic signature. The document states that the counterparts of the addendum may be executed and signed by electronic signature by any of the parties. It also clarifies that these documents can be delivered via electronic or digital communications to any other party to the agreement. The receiving party can rely on the receipt of such a document as if the original had been received.
For the purposes of the addendum, an electronic signature includes, but is not limited to, an electronic act or acknowledgement, such as clicking an "I Accept" button, a sound, a symbol like a digitized signature block, or any process attached to or logically associated with a record. This electronic signature must be executed or adopted by a person with the intent to sign the record.
This provision makes it easier for Checkersrallys and its franchisees to finalize agreements, as it removes the necessity for physical signatures and document delivery. It streamlines the process and reduces the time needed to complete the signing of the addendum. Franchisees should ensure they understand what constitutes an acceptable electronic signature under the agreement to avoid any issues with the validity of their signature.
