What This Means (2025 FDD)

According to Chatime's 2025 Franchise Disclosure Document, a franchisee operating under a Multi-Unit Development Agreement may have the first opportunity for special distribution opportunities within their Development Territory. However, this is contingent upon several conditions.

First, the franchisee must be in full compliance with all material provisions outlined in their agreements with Chatime and its affiliates. This means adhering to all operational standards, payment schedules, and other contractual obligations. Second, the franchisee must meet Chatime's criteria for the Multi-Unit Development expansion schedule, indicating they are on track with their agreed-upon development quota.

Finally, securing this opportunity is also dependent on obtaining permission from the party that controls these special distribution opportunities. This implies that Chatime does not have sole discretion over these opportunities and that a third party's approval is necessary. It is also important to note that the franchisee does not have any other rights to pursue special distribution opportunities beyond this first opportunity.
