What This Means (2025 FDD)

According to Chatime's 2025 Franchise Disclosure Document, the Global Policies and Procedures are considered Confidential Information. The FDD defines 'Confidential Information' to include a range of materials and knowledge related to the Chatime franchise system.

For a prospective franchisee, this means that the Global Policies and Procedures, which govern the operation of Chatime outlets, are not to be disclosed to unauthorized parties. This restriction aims to protect Chatime's proprietary methods, standards, and business strategies. Franchisees are expected to maintain the confidentiality of these policies to prevent competitors from gaining an unfair advantage.

This obligation extends not only to the franchisee but also to their employees and potentially other interested parties. Chatime may require the franchisee to ensure that directors, managers, key employees, and other involved parties sign confidentiality agreements before gaining access to this information. This ensures a comprehensive approach to safeguarding Chatime's confidential assets.

The confidentiality requirement is a standard practice in franchising, intended to preserve the integrity and competitive edge of the franchise system. Franchisees should carefully review the scope of confidential information and the associated obligations to ensure compliance and avoid potential breaches of the franchise agreement.
