As a Chatime franchisee, am I allowed to use the copyrighted materials in any way I see fit?

materials may be used by you only as long as you are a franchisee and as provided in your Franchise Agreement. Any rights granted to you as a user of any copyright are subject to our ownership, rights, and interests in the copyright.
We and La Kaffa have the right to control all administrative proceedings or litigation involving our copyrights. We will pay all costs you incur to commence or defend legal proceedings relating to our copyrights provided that we have authorized your actions. If we undertake the defense or prosecution of any such legal proceeding, you will execute any documents and do such acts as may be necessary in our counsel's opinion to carry out such defense or prosecution. If we require you to modify or discontinue using the subject matter covered by the copyright, you must do so immediately.
You do not receive the right to use an item covered by a patent or copyright unless it is expressly incorporated as proprietary information in our Operations Manual. You may use these materials in the manner we approve in the operation of your Chatime Store during the term of your Franchise Agreement. You may not use these materials in any other way for your own benefit, or communicate or disclose them to, or use them for the benefit of, any other person or entity.

What This Means (2025 FDD)
According to Chatime's 2025 Franchise Disclosure Document, as a franchisee, your use of copyrighted materials is restricted. Chatime claims copyright interests in its Operations Manual, advertising materials, product content and format, and other printed and pictorial materials. These materials are considered proprietary and confidential and can only be used while you are a franchisee and as outlined in the Franchise Agreement.
You are not permitted to use these materials in any way for your own benefit or disclose them to others. However, you can disclose this information to your employees to the extent necessary to operate the business, but only while the Franchise Agreement is in effect. If Chatime requires you to modify or discontinue using the copyrighted material, you must do so immediately.
Chatime retains control over any legal proceedings involving its copyrights, and they will cover the costs you incur if they have authorized your actions. You are obligated to notify Chatime of any unauthorized use or challenges to their proprietary information, though they are not obligated to take action. Overall, your use of Chatime's copyrighted materials is limited to the operation of your Chatime store and is subject to their approval and control.
