What This Means (2025 FDD)
According to Chatime's 2025 Franchise Disclosure Document, the definition of 'Confidential Information' does include global policies and procedures. This means that as a franchisee, you are obligated to keep Chatime's global policies and procedures confidential. This obligation extends to any information provided by Chatime or its affiliates that is marked "confidential" or that you gain access to because of the franchise agreement. Additionally, any information considered secret or confidential under the law is also included.
This obligation is significant because it restricts what you can disclose about Chatime's operations. The definition of 'Confidential Information' is broad, covering various aspects of the business, including plans, recipes, training materials, marketing programs, supplier information, and financial data. This means you cannot share these details with unauthorized parties, such as competitors or potential business ventures, without risking legal repercussions.
For a prospective Chatime franchisee, understanding the scope of 'Confidential Information' is crucial. It is important to carefully review the franchise agreement and any related documents to fully grasp what information is protected. You should also seek legal counsel to ensure you understand your obligations and the potential consequences of breaching confidentiality. This will help you avoid unintentional disclosures and maintain a positive relationship with Chatime.
