Franchisee acknowledges that, as between Franchisee and Franchisor, Franchisor has the sole rights to and interest in all Contact Identifiers and Online Presences associated with any Mark.
Franchisee authorizes Franchisor, and hereby appoints Franchisor, and any of Franchisor's officers, as Franchisee's attorney in fact, to direct the telephone company, all directory publishers and all registrars to transfer any Contact Identifier or Online Presence relating to the Franchised Business to Franchisor, or at Franchisor's direction to a third-party, should Franchisee fail or refuse to do so, and the telephone company, all directory publishers and all registrars may accept such direction or this Agreement as conclusive of Franchisor's exclusive rights in such Contact Identifiers and Online Presences and Franchisor's authority to direct their transfer;
