5. The Prime Lease.
- (a) This Sublease and all rights of Subtenant hereunder and with respect to the Premises are subject and subordinate to the terms, conditions, provisions and restrictions of the Prime Lease. Subtenant shall be bound by all of the terms, conditions, provisions and restrictions of the Prime Lease applicable to the Premises and responsible for performance thereof and compliance therewith, except as explicitly set forth herein. In addition, Subtenant acknowledges that upon a termination of the Prime Lease, this Sublease and Subtenant's rights in and to the Premises shall expire automatically. Except as otherwise set forth in this Sublease, the terms, conditions, provisions and restrictions of the Prime Lease are incorporated into this Sublease by reference and constitute additional terms and provisions of this Sublease. Subtenant hereby assumes and agrees to perform faithfully and be bound by all of Sublandlord's obligations, covenants, agreements and liabilities under the Prime Lease applicable to the Premises, and all terms and provisions thereof, except for the following provisions which are not incorporated into this Sublease by reference:

According to Cd One Price Cleaners' 2025 Franchise Disclosure Document, a subtenant's rights are subject and subordinate to the terms, conditions, provisions, and restrictions of the Prime Lease. The subtenant is bound by all terms, conditions, provisions, and restrictions of the Prime Lease applicable to the premises and is responsible for their performance and compliance, except as explicitly set forth in the sublease. Upon termination of the Prime Lease, the sublease and the subtenant's rights to the premises automatically expire.
The terms, conditions, provisions, and restrictions of the Prime Lease are incorporated into the sublease by reference and constitute additional terms and provisions of the sublease. The subtenant assumes and agrees to perform faithfully and be bound by all of the sublandlord's obligations, covenants, agreements, and liabilities under the Prime Lease applicable to the premises, and all terms and provisions thereof, except for any provisions specifically excluded in the sublease.
This means that as a Cd One Price Cleaners franchisee, if you are subleasing the premises from the franchisor or an affiliate, your rights to the property are secondary to the original lease agreement (Prime Lease). If the Prime Lease is terminated for any reason, your sublease is also terminated automatically, potentially impacting your ability to operate the franchise at that location. Prospective franchisees should carefully review both the sublease and the Prime Lease to understand their obligations and rights, and to assess the stability of their tenancy.
