Franchise Agreement
You may use the Proprietary Marks in operating the Store. Cleaners Depot, L.P., our affiliate, registered some of the principal Proprietary Marks on the principal register of the United States Patent and Trademark Office ("PTO"). We accepted an assignment of the Proprietary Marks effective January 2012 and now we own the Proprietary Marks. We also registered some Principal Marks on the PTO's principal register after January 2012. The principal Proprietary Marks are:

What This Means (2025 FDD)
According to Cd One Price Cleaners's 2025 Franchise Disclosure Document, the initial registrant of some of the principal Proprietary Marks was Cleaners Depot, L.P., an affiliate of Cd One Price Cleaners. Cd One Price Cleaners later acquired these marks through an assignment effective January 2012. After this assignment, Cd One Price Cleaners registered additional Principal Marks with the United States Patent and Trademark Office (PTO).
Several Proprietary Marks, along with their registration numbers and dates, are listed in Item 13 of the FDD. For example, the "CD Design logo" was registered under number 2,704,215 on April 8, 2003, and the "CD" mark was registered under number 3,089,941 on May 9, 2006. The "CD ONE PRICE" mark was registered under number 3,160,666 on October 17, 2006. The "CD ONE" mark was registered under number 5,297,532 on September 26, 2017.
Prospective franchisees should understand that while they are granted the right to use these Proprietary Marks under the Franchise Agreement, they do not own them. Cd One Price Cleaners retains the right to add or substitute different marks if necessary, and franchisees are responsible for implementing these changes at their own expense. Franchisees also have a responsibility to notify Cd One Price Cleaners of any suspected unauthorized use or challenges to the validity of the Proprietary Marks. Cd One Price Cleaners will then determine the appropriate course of action.
Cd One Price Cleaners does not have an obligation to protect a franchisee's right to use the Proprietary Marks or defend against infringement claims arising from their use. This means that franchisees could potentially bear the costs of defending their use of the marks in certain situations. This is a fairly typical arrangement in franchising, where the franchisor owns the trademarks but the franchisee's use is subject to certain conditions and potential risks.
