Franchisor identifies CD Stores by means of certain trade names, service marks, trademarks, logos, emblems and indicia of origin ("marks") as are now or may hereinafter be designated by Franchisor. The marks to be utilized in connection with the concept to be licensed to Franchisee pursuant to this Agreement, including "CD One Price Cleaners®," as Franchisor may add to, amend and replace them from time to time, are hereinafter referred to as "Proprietary Marks."

What This Means (2025 FDD)
According to the 2025 Cd One Price Cleaners FDD, the company identifies its stores through trade names, service marks, trademarks, logos, emblems, and other indicators of origin, which are collectively referred to as "Proprietary Marks." These marks include, but are not limited to, "CD One Price Cleaners®," and may be modified or replaced by Cd One Price Cleaners at its discretion.
Cd One Price Cleaners retains the right to add or substitute different marks for identifying the store if the current Proprietary Marks become unusable or if the company believes a change would be beneficial. The franchisee is obligated to implement any such substitution promptly at their own expense. This means a franchisee might need to invest in rebranding or updating signage if Cd One Price Cleaners decides to change its marks.
Franchisees are allowed to use the Proprietary Marks only as specified in their agreements and must acknowledge the validity and ownership of these marks. They cannot contest the validity or ownership of the marks, nor can they take any action that could harm Cd One Price Cleaners's interest in them. All goodwill associated with the use of the Proprietary Marks accrues exclusively to the benefit of Cd One Price Cleaners.
Upon termination or expiration of the franchise agreement, the franchisee must immediately cease using the Proprietary Marks and any similar marks associated with Cd One Price Cleaners. They must also cancel any assumed name registrations that include the Proprietary Marks and notify the telephone company and directory publishers about the termination of their right to use any phone numbers and listings associated with the marks or the store.
