Answer from 2025 FDD Document

You may use the Proprietary Marks in operating the Store. Cleaners Depot, L.P., our affiliate, registered some of the principal Proprietary Marks on the principal register of the United States Patent and Trademark Office ("PTO"). We accepted an assignment of the Proprietary Marks effective January 2012 and now we own the Proprietary Marks. We also registered some Principal Marks on the PTO's principal register after January 2012.

What This Means (2025 FDD)

According to Cd One Price Cleaners's 2025 Franchise Disclosure Document, the current owner of the Proprietary Marks is "we," referring to the franchisor. The document states that Cleaners Depot, L.P., an affiliate, initially registered some of the principal Proprietary Marks with the United States Patent and Trademark Office (PTO). However, Cd One Price Cleaners accepted an assignment of these Proprietary Marks effective January 2012, thereby becoming the owner. The document also indicates that Cd One Price Cleaners registered some Principal Marks on the PTO's principal register after January 2012.

This means that as a franchisee, you are granted the right to use these Proprietary Marks in operating your Cd One Price Cleaners store, but this right is derived solely from the franchise agreement. The Development Rights Agreement does not grant any rights to use the Proprietary Marks. Cd One Price Cleaners retains control over the marks and can add or substitute different marks if necessary, with franchisees bearing the expense of implementing these changes.

Furthermore, franchisees are obligated to notify Cd One Price Cleaners of any suspected unauthorized use or challenges to the validity of the Proprietary Marks. Cd One Price Cleaners will then determine the appropriate course of action, including any legal proceedings. While franchisees must cooperate in any legal defense or prosecution, Cd One Price Cleaners is not obligated to protect the franchisee's right to use the marks or indemnify them against infringement claims. This arrangement is typical in franchising, where the franchisor maintains brand control while franchisees benefit from using established trademarks.

Prospective franchisees should be aware that while they have the right to use the Proprietary Marks, this right is subject to the terms of the franchise agreement and the control of Cd One Price Cleaners. It is important to understand the obligations and limitations regarding the use and protection of these marks, as well as the potential costs associated with any required changes or legal proceedings.
