What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, in the event of the termination or expiration of the Franchise Agreement, the declaration of the Assignee (the party receiving the assignment of rights) will be considered conclusive and not open to dispute as proof to third parties. This applies specifically to matters concerning the transfer of telephone numbers, facsimile numbers, listings, domain names, and digital media associated with the Casiola business.

This means that Casiola has the authority to notify third parties about the termination or expiration of a franchise agreement, and that notification is considered final. This is intended to allow Casiola to maintain control over the brand's digital presence and customer communications by ensuring a smooth transfer of associated media assets.

For a prospective franchisee, this clause highlights the importance of understanding the terms of the Franchise Agreement regarding termination and the transfer of digital assets. It emphasizes that Casiola has the upper hand in determining and communicating the status of the franchise to third parties, which could impact the franchisee's ability to operate independently or maintain customer relationships after the agreement ends. Franchisees should seek clarification on the conditions under which the agreement can be terminated and how the transfer of digital assets will be managed to protect their interests.
