Casiola Franchise · 2024 FDD

Answer from 2024 FDD Document

You will not receive an exclusive territory. You may face competition from other franchisees, from outlets that we own, or from other channels of distribution or competitive brands that we control. However, during the term of the Franchise Agreement, provided that you are not in default of your obligations to us or our affiliates and except as to our Reserved Rights set forth below, we will not open and operate and we will not grant another franchisee the right to open and operate a Casiola Business within your Operating Market.

What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, a franchisee is not granted an exclusive territory. This means a franchisee may face competition from other franchisees, outlets that Casiola owns, or other channels of distribution or competitive brands that Casiola controls. However, Casiola states that during the term of the Franchise Agreement, provided the franchisee is not in default of their obligations to Casiola or its affiliates and except as to Casiola's Reserved Rights, Casiola will not open and operate and will not grant another franchisee the right to open and operate a Casiola Business within the franchisee's Operating Market.

This protection is contingent on the franchisee remaining in good standing with Casiola and its affiliates, meaning they must fulfill all contractual obligations. The protection is also subject to Casiola's Reserved Rights, which allows Casiola to engage in specific activities without compensating the franchisee. These Reserved Rights include operating or franchising Casiola Businesses outside the franchisee's Operating Market, acquiring or merging with other businesses (even those similar to the Franchised Business but not utilizing the Licensed Marks), using Licensed Marks and Systems to distribute services to Corporate Accounts, and engaging in activities not expressly prohibited by the Franchise Agreement.

In practical terms, while Casiola agrees not to directly compete with a franchisee within their Operating Market by opening another Casiola Business or granting a new franchise, this protection has limitations. Casiola retains significant rights to operate and expand its business through other channels, including corporate accounts and businesses using different trademarks, which could still create competition for the franchisee. A prospective franchisee should carefully consider these Reserved Rights and their potential impact on their business before investing in a Casiola franchise.
