Under what conditions will Casiola and its affiliates refrain from operating or franchising a Casiola Business within a franchisee's Operating Market?

- (5) Except as otherwise provided in this Agreement including, but not limited to, the Reserved Rights and Closed Markets, provided that, at all times, Franchisee is and remains in compliance with the terms of this Agreement, during the Term of this Agreement, Franchisor will not and Franchisor's affiliates will not operate, or grant a franchisee the right to operate a Casiola Business using the Licensed Marks and System within Franchisee's Operating Market, provided that an Operating Market has been designated and approved by Franchisor in accordance with the terms of this Agreement; and
- (6) The foregoing rights granted in this Article 2.A. are subject to and contingent upon each and every, term and condition of this Agreement, the rights of any prior user, and are non-exclusive and subordinate to the Reserved Rights.

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, Casiola and its affiliates will not operate or grant a franchise to operate a Casiola Business within a franchisee's Operating Market during the term of the agreement, provided the franchisee remains in compliance with the terms of the agreement. This protection applies only if an Operating Market has been designated and approved by Casiola according to the agreement's terms.

Casiola can also use the Licensed Marks and System to distribute services and products to Corporate Accounts within or outside the franchisee's Operating Market.
Therefore, while Casiola provides a degree of territorial protection, it is not absolute. A prospective franchisee should carefully review the full scope of Casiola's Reserved Rights and the conditions for maintaining territorial exclusivity to understand the potential for competition from Casiola itself or other franchisees outside their designated area.
