Franchisee agrees that, at all times, both during the Term of this Agreement and after its expiration or termination, Franchisee: (a) shall not use the Confidential Information in any business or capacity other than the Casiola Business operated by Franchisee; (b) shall maintain the confidentiality of the Confidential Information at all times; (c) shall not make unauthorized copies of documents containing any Confidential Information; (d) shall take such reasonable steps as Franchisor may ask of Franchisee from time to time to prevent unauthorized use or disclosure of the Confidential Information; and (e) shall stop using the Confidential Information immediately upon the expiration, termination or Transfer of this Agreement.

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, franchisees must stop using Confidential Information immediately upon the expiration, termination, or transfer of the Franchise Agreement. Additionally, Casiola can request or demand that franchisees stop using the Confidential Information at any time.
Confidential Information includes, but is not limited to, trade secrets, methods, standards, techniques, procedures, data, and information related to the development, marketing, and operation of Casiola Businesses. It also encompasses consumer preferences, supplier information, customer lists, email lists, Bookings and Management System Data, the contents of the Operations Manual, and Know-How.
This obligation extends beyond the franchisee to include their owners, directors, officers, employees, and agents, provided they have signed a Confidentiality Agreement. Franchisees must also cease accessing and disconnect from any digital media, intranets, cloud-based systems, or servers that store the Operations Manual or Confidential Information. Franchisees must also return the Operations Manual, Confidential Information, and all other confidential materials to Casiola.
