What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, third parties are authorized to rely on the Assignment of Telephone Numbers and Digital Media Accounts agreement, regardless of any disputes between Casiola and the franchisee. This means that even if a franchisee disagrees with Casiola about the assignment of these digital assets, third parties can still depend on the agreement's terms.

This provision protects the interests of third parties who may need to take action regarding the telephone numbers and digital media accounts associated with a Casiola franchise. For example, if a franchisee's agreement is terminated, third-party service providers can rely on the assignment to transfer control of the accounts to Casiola, even if the franchisee contests the termination.

The FDD emphasizes that this reliance is permitted irrespective of any contrary instructions from the franchisee. Casiola retains the right to request that franchisees execute, update, or re-execute the Assignment of Telephone Numbers and Digital Media Accounts agreement as needed. This ensures that Casiola can maintain control over its brand's digital presence and customer communications, even in the event of disagreements with a franchisee.

This clause is designed to streamline the process of managing digital assets and telephone numbers, ensuring that Casiola can maintain brand consistency and customer relationships without being hindered by disputes with individual franchisees. Prospective franchisees should understand that this agreement is intended to be binding on third parties, even if the franchisee has objections.
