internally administered or prepared by Franchisor and other marketing activities made by Franchisor, provided, however, that salary expenses for Franchisor's personnel paid by the Brand Development Fund shall be commensurate with the amount of that time spent by such personnel on Brand Development Fund matters. Franchisor shall not use contributions to the Brand Development Fund to defray any of Franchisor's general operating expenses, except for such reasonable salaries, administrative costs and overhead as Franchisor may incur in activities reasonably related to the administration and activities of the Brand Development Fund and creation or conduct of its marketing programs including, without limitation, conducting market research, preparing advertising and marketing materials and collecting and accounting for contributions to the Brand Development Fund.

What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, there are some guidelines regarding salary expenses paid from the Brand Development Fund. Specifically, salary expenses for Casiola's personnel paid by the Brand Development Fund must be commensurate with the amount of time those personnel spend on Brand Development Fund matters. This indicates that while salaries can be paid from the fund, they must be proportional to the work done related to the fund's objectives.

This means that Casiola cannot use the Brand Development Fund to cover general operating expenses, except for reasonable salaries, administrative costs, and overhead that are directly related to the administration and activities of the fund. These activities include conducting market research, preparing advertising and marketing materials, and managing contributions to the fund. This suggests that there is an implied limit, as the salaries must be justifiable based on the time spent on fund-related activities.

In practical terms, a Casiola franchisee should be aware that the Brand Development Fund is intended for specific marketing and brand-building activities. While some of the fund can be used for salaries, these salaries must be tied to work that directly benefits the fund. Franchisees have the right to request a summary statement of monies collected and costs incurred by the Brand Development Fund for the preceding fiscal year, allowing them to monitor how the fund is being used and whether salary expenses align with the fund's objectives.
