What This Means (2024 FDD)

According to the 2024 Casiola Franchise Disclosure Document, both Casiola and the franchisee waive the right to claim punitive, exemplary, consequential, or speculative damages against each other in the event of a dispute. Generally, each party is limited to recovering actual damages. However, there are exceptions to this waiver.

The waiver does not apply to claims allowed by Casiola or the franchisee for attorney's fees, costs, or expenses under the agreement. Additionally, the waiver does not apply to claims for lost profits by Casiola or the franchisee and the owners resulting from the termination of the agreement. This means that in these specific instances, the right to seek punitive damages may be retained.

Furthermore, the North Dakota Franchise Agreement Amendment states that provisions requiring a franchisee to consent to a waiver of exemplary and punitive damages are not enforceable under Section 51-19-09 of the North Dakota Franchise Investment Law. Therefore, if you are a Casiola franchisee in North Dakota, this waiver may not apply to you.
