Does termination of the License Agreement terminate use of the marks by authorized Casiola franchisees?

Casiola Franchise · 2024 FDD

Answer from 2024 FDD Document

Although the License Agreement may be terminated as a result of a breach of the License Agreement, in the event of any termination of the License Agreement, our franchisee will continue to maintain the right to use the Marks pursuant to the terms of their Franchise Agreement. Termination of the License Agreement does not terminate use of the Marks by our authorized franchisees.

What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, termination of the License Agreement between Casiola Worldwide LLC and the franchisor does not terminate the use of Casiola's marks by its authorized franchisees. Casiola Worldwide LLC owns the licensed marks and has granted the franchisor a license to use these marks, with an initial term of 20 years and automatic renewal thereafter. This license allows the franchisor to then license the marks to its franchisees.

Even if the License Agreement is terminated due to a breach, Casiola franchisees retain the right to use the marks as outlined in their individual Franchise Agreements. This provision protects franchisees from losing their branding rights if the overarching agreement between Casiola Worldwide LLC and the franchisor is terminated.

This is a significant benefit for franchisees, as it provides assurance that their right to operate under the Casiola brand will continue even if there are issues at the franchisor level. Franchisees should still carefully review their Franchise Agreement to fully understand the terms and conditions governing their use of the Casiola marks.
