Franchisor, in Franchisor's Reasonable Business Judgment, shall direct all advertising, media placement, marketing and public relations programs and activities financed by the Brand Development Fund, with sole discretion over the strategic direction, creative concepts, materials, and endorsements used by the Brand Development Fund, and the geographic, market, and media placement and allocation thereof.
Without limiting the foregoing, the Brand Development Fund may also be utilized for evaluation and monitoring of the Bookings and Management Systems, maintenance and upgrades to the System Website, and development of Digital Media;

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, Casiola has sole discretion over the strategic direction of the Brand Development Fund. Specifically, Casiola directs all advertising, media placement, marketing, and public relations programs and activities financed by the Brand Development Fund. This includes having sole discretion over the strategic direction, creative concepts, materials, endorsements, geographic, market, and media placement and allocation.
This means that as a Casiola franchisee, you will be required to contribute to the Brand Development Fund, but Casiola ultimately decides how those funds are spent. While the fund's purpose is to enhance the System brand and increase public recognition of the Licensed Marks, Casiola is not obligated to ensure that expenditures in any geographic area are proportionate to contributions from that area. Casiola can also use the Brand Development Fund to promote any type of Casiola business or businesses in a particular region.
As a franchisee, you agree that your failure to directly benefit from the Brand Development Fund will not reduce your obligation to contribute to it. The Brand Development Fund will not be used to directly market or promote your specific franchised business unless Casiola directs otherwise. Casiola can also use the Brand Development Fund to cover its own reasonable salaries, wages, administrative costs, and overhead related to the fund's administration and brand awareness goals.
It is important to note that the Brand Development Fund is not a trust, and Casiola is not a trustee or fiduciary of the fund. Casiola can deposit and maintain the fund's monies in its general accounts, and these funds do not need to be segregated from Casiola's other assets. Casiola is also not required to expend the fees in the year they are collected and can borrow or invest surplus funds for future use.
