What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, the Franchise Agreement includes Schedule 1, which pertains to the Operating Market, and Schedule 2, which acknowledges the Franchise Fee. Additionally, Exhibit 3 to the Franchise Agreement concerns the Assignment of Telephone Numbers and Digital Media Accounts. These schedules and exhibits are integral parts of the agreement, outlining specific details regarding the franchisee's operating territory, fees, and digital assets.
Schedule 1 defines the franchisee's Operating Market, which is the geographic area where the franchisee is authorized to operate their Casiola business. This schedule is crucial as it sets the boundaries within which the franchisee can solicit and conduct business. The franchisor determines the Operating Market, and its description is considered fixed as of the effective date of the Franchise Agreement. Schedule 2 addresses the franchise fee, specifying whether the operating market qualifies as a single territory or includes additional territories, which affects the total initial franchise fee.
Exhibit 3 details the assignment of telephone numbers and digital media accounts to Casiola Franchise LLC. This assignment ensures that all digital assets and contact information associated with the Casiola business are properly transferred and managed under the franchisor's guidelines. The exhibit defines "Digital Media" broadly, encompassing various online platforms and applications used to promote the Casiola business. This comprehensive approach to digital assets highlights the importance of online presence and marketing in the Casiola franchise system.
These schedules and exhibits, along with the Operations Manual, form the complete agreement between Casiola and the franchisee, superseding any prior agreements. Prospective franchisees should carefully review these documents to understand their rights, obligations, and the specific terms governing their franchise operation. Understanding the scope of the Operating Market, the fee structure, and the management of digital assets is essential for a successful Casiola franchise.
