What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, Casiola retains several rights that could impact a franchisee's operating market. Casiola reserves the right to operate or grant others the right to operate a Casiola Business using the System and Licensed Marks outside the franchisee's Operating Market. This means that while a franchisee has a designated area, Casiola can expand elsewhere without compensating the franchisee.

Casiola also reserves the right to engage in business activities, including merging with or acquiring other businesses, even those that compete with Casiola Businesses, within the franchisee's Operating Market, as long as they do not use Casiola's Licensed Marks. Additionally, Casiola can use the Licensed Marks and System to distribute approved services and products to Corporate Accounts and Corporate Account Customers both within and outside the franchisee's Operating Market. Casiola also retains the right to license others to use the Licensed Marks and System for activities not expressly prohibited in the Franchise Agreement.

These reserved rights provide Casiola with considerable flexibility in its business operations and potential expansion strategies. However, they also introduce a level of risk for franchisees, as Casiola could potentially authorize competing businesses or directly serve customers within the franchisee's designated market through corporate accounts. Prospective franchisees should carefully consider these reserved rights and how they might affect their business before investing in a Casiola franchise.
