We reserve the right to supplement and modify the marks that you may or may not use in connection with the operations of your Casiola Business. You may only use the Licensed Marks as authorized by us in writing and under the terms of your Franchise Agreement. You may not use the Licensed Marks in the name of any Corporate Entity that you establish.
If any third party establishes, to our satisfaction and in our sole discretion, that its rights to the marks are, for any legal reason, superior to any of our rights, then we will modify and/or replace the Licensed Marks and you must use the variances or other service marks, trademarks or trade names required by and as determined by us. Our sole liability and obligation in such event is to reimburse you for the direct out-of-pocket costs of complying with this obligation, which you must document to our satisfaction, including, by way of example, alterations in signage and replacement of marketing materials.

What This Means (2024 FDD)
According to Casiola's 2024 Franchise Disclosure Document, Casiola retains the right to supplement and modify the trademarks that franchisees are authorized to use in connection with their Casiola business operations. This means that while franchisees are granted a license to use specific trademarks, Casiola can change or add to these marks. Franchisees are only allowed to use the licensed marks as explicitly authorized by Casiola in writing and under the terms outlined in the Franchise Agreement. They are prohibited from using the licensed marks in the name of any corporate entity they establish.
This provision gives Casiola significant control over its brand and image. It allows Casiola to adapt its trademarks to changing market conditions or to address any legal challenges that may arise. For a franchisee, this means they must be prepared to update their signage, marketing materials, and other branded items if Casiola decides to modify the marks.
If a third party successfully claims superior rights to the marks, Casiola will modify or replace the licensed marks. In such cases, Casiola's sole obligation is to reimburse the franchisee for the direct out-of-pocket costs of complying with this change, such as alterations in signage and replacement of marketing materials, provided the franchisee documents these costs to Casiola's satisfaction. This obligation provides some financial protection to the franchisee, but it's important to note that it only covers direct out-of-pocket costs and requires proper documentation.
Casiola also commits to protecting the franchisee's right to use the licensed marks against claims of infringement and unfair competition, provided the franchisee uses the marks in accordance with the Franchise Agreement, the manuals, and Casiola's written instructions. Casiola will indemnify the franchisee against direct damages for trademark infringement arising from their use of the licensed marks, subject to the franchisee's compliance with the agreement and timely notification of any claims. However, Casiola is not obligated to cover the fees or disbursements of any attorney retained by the franchisee if Casiola defends the claim.
