What This Means (2024 FDD)

According to Casiola's 2024 Franchise Disclosure Document, Casiola is not required to keep the Brand Development Fund separate from its general operating funds. This means that Casiola can combine the money from the Brand Development Fund with the company's other revenue streams.

For a prospective franchisee, this arrangement carries both potential benefits and risks. On one hand, combining funds might allow Casiola greater flexibility in managing its finances and potentially lead to more efficient use of resources. Casiola states that the Brand Development Fund will be required to maintain unaudited financial records detailing its expenditures and will make available to franchisees (no more frequently than one time in any 12-month period) an unaudited accounting of how the monies contributed to the Brand Development Fund were spent each year.

However, the lack of segregation also means less transparency and potentially less accountability regarding how the Brand Development Fund is used. Franchisees might have concerns about whether their contributions to the fund are being used effectively and in their best interests, as Casiola is not a fiduciary or trustee of the Brand Development Fund. It is important to note that the Brand Development Fund will not be used to directly promote a franchisee's Casiola Business or the marketing area in which their Casiola Business will be located.

Prospective franchisees should carefully consider these factors and seek clarification from Casiola regarding the management and oversight of the Brand Development Fund. Understanding how Casiola ensures the fund is used to benefit the franchise system as a whole is crucial before investing in a Casiola franchise.
